1. Term and Termination: One (1) year auto-renewing, 30-day written termination notice by either party.
2. Operating Authority: Carrier must be a registered motor carrier in compliance with all federal, state and local laws, including CA CARB reefer rules where applicable. Carrier must not have an "Unsatisfactory" FMCSA safety rating.
3. Refrigerated & Food Shipments: Carrier bears sole risk of loss for rejected loads due to broken seals or temperature variance. Trailers must be pre-cooled and equipped with downloadable temperature readings.
4. Shipments: Non-exclusive. Carrier may not broker, subcontract, or trip-lease any loads without prior written consent.
5. Payment Terms: Broker pays within 30 days of receipt of BOL/POD. Quick Pay available at 5% fee (48–72 hrs) at time of booking only.
7. Cargo Claims: Carrier assumes Carmack Amendment liability. Must respond to claims within 30 days.
10. Insurance Required: Cargo $100,000 minimum (no exclusions), Auto Liability $1,000,000, General Liability $1,000,000, Workers' Comp per state law. RBS must be named additional insured / loss payee.
12. Back-Solicitation: 15-month non-solicitation of RBS customers after termination.
21. Governing Law: Illinois law. Venue: Cook County IL, or Nassau/Suffolk County NY.
